How to Register a Limited Company
I say this a lot in these blogs but this time I mean it…”How do I register a Limited Company?” is the most common question I get asked on a daily basis…honest!
Now before I get started, this blog is purely the steps you need to take in order to register a Limited Company, it isn’t going to explain what one is etc, so if that’s what you’re after please check out our other blog “What is a Limited Company?“.
So without further adieu let’s do this!
Step 1: Search for your Company Name
Many people forget that once you go Limited, you must register your company name. Unlike being a sole-trader where you can ‘trading as’ whatever name you like, being a Limited Company isn’t that simple.
So if unfortunately the name you have been using for the past however-many-years is already registered then you’ll either need to tweak the name slightly or choose something completely different.
To check out if your name is available simply visit – http://wck2.companieshouse.gov.uk//wcframe?name=accessCompanyInfo – and search to see if it is available.
Step 2: Register your Company
This is the long administration part and it used to take a lot longer when you did it via paper copies! However the HMRC have simplified everything now and it can all be done online at – https://www.gov.uk/register-a-company-online
What you are doing here is filling in all the correct forms which include:
Form 10
Form 12
Article of Association
Memorandum
Step 3: Pay the set up fee
This isn’t necessarily a step as it’s included within the registering the company, however I just wanted to make it clear that there is a set up fee of £15 which you must pay upon submission of all your company details.
Step 4: Certificate of Incorporation
It usually takes about 24 hours for all the admin to be sorted, but as soon as your submission has been assessed and accepted you will then receive your ‘Certificate of Incorporation’.
This is the moment you will have officially registered your Limited Company! Hurrah! This will be the official document which informs you of your Company Number, the date it was formed and all the general details about your new company.
And that’s it! 4 Simple steps to register your limited company. If you’re a little worried about doing that by yourself, there are ‘Company Formation’ companies which will do all of this on your behalf but will of course charge an additional fee for their time – but the option is there if you’d prefer that method.
